If you do not agree with these terms, you should discontinue use of our website and services.
Certain services may be subject to a separate proposal, quotation, statement of work, membership agreement, or other written contract. Where a separate agreement applies, its specific terms will govern the relevant service in the event of a conflict with these general terms.

3. Business Registration and Third-Party Services
Where we assist with business registration or related administrative processes, we provide support based on the service purchased and the information supplied by the client.
We do not control the decisions, processing times, requirements, or systems of government agencies, financial institutions, payment processors, domain registrars, hosting companies, or other third parties.
We do not guarantee that a business registration, licence, permit, bank account, funding application, or other third-party application will be approved.
Clients remain responsible for ensuring that their business activities comply with applicable laws and regulatory requirements, unless a separate written agreement expressly provides otherwise.
4. Client Responsibilities
Clients agree to:
Provide accurate, complete, and timely information.
Supply required text, images, branding assets, credentials, and other materials.
Ensure they have the legal right to use materials supplied to us.
Review drafts, proofs, and deliverables and provide feedback within agreed timelines.
Obtain necessary permissions, approvals, licences, and consents.
Make payments according to the agreed payment schedule.
Maintain appropriate copies of their important business files, records, and credentials.
Respond to reasonable requests for information needed to complete the work.
Delays caused by missing information, late approvals, unavailable client personnel, or other client-related circumstances may affect delivery dates. Any resulting changes to scope, fees, or timelines will be addressed in accordance with the applicable agreement.
5. Quotations, Fees, and Payments
Prices, deposits, instalments, recurring fees, taxes, and payment deadlines will be specified in the applicable quotation, proposal, checkout page, invoice, or written agreement.
Unless otherwise agreed in writing:
Work may begin after the required deposit or initial payment has cleared.
Additional work outside the agreed scope may incur additional charges.
Third-party expenses, including hosting, domains, premium software, stock assets, advertising budgets, or subscription fees, may be charged separately.
Clients are responsible for applicable taxes unless the relevant agreement or law provides otherwise.
Recurring services must be paid according to the stated billing schedule.
If payment is overdue, we may suspend work or services after providing any notice required by the applicable agreement and law. Suspension does not eliminate outstanding payment obligations.
6. Project Scope, Revisions, and Delivery
Each project will be completed according to the scope and deliverables agreed upon before work begins.
Revision limits, approval procedures, estimated delivery dates, and client review periods may be specified in the relevant proposal or service agreement.
Requests that materially change the original scope may require a revised quotation, additional fees, and an adjusted delivery schedule.
Estimated delivery dates are provided in good faith. Actual timing may depend on the complexity of the project, client cooperation, third-party services, and other circumstances beyond our reasonable control.
7. Website Design and Maintenance
For website design and maintenance services:
Clients must provide accurate content and authorized access to relevant accounts and systems.
Domain registration, hosting, premium plugins, themes, third-party integrations, and other external costs are included only where expressly stated.
Website maintenance covers only the tasks identified in the selected package or written agreement.
Updates, backups, monitoring, security checks, content changes, and technical support are provided according to the purchased service level.
No website can be guaranteed to remain continuously available, completely secure, or free from errors.
Third-party software updates, hosting outages, cyberattacks, compatibility issues, and external platform changes may affect website performance.
Clients should maintain appropriate access to their domain, hosting, website, and related business accounts.
8. Digital Marketing and Results
Digital marketing services may include content development, social media graphics, business profile support, blog writing, marketing calendars, reporting, and other agreed deliverables.
Marketing outcomes depend on factors that may include market conditions, competition, audience behaviour, platform algorithms, advertising budgets, client implementation, and the quality of available information.
We do not guarantee particular sales figures, website traffic, search rankings, engagement rates, leads, conversions, or business profits.
Services involving paid advertising, campaign management, or other specialized activities are included only where expressly agreed in writing.
9. Intellectual Property
Clients retain ownership of materials they supply, subject to the rights of any third-party owners.
Ownership and permitted use of custom work created by Canada Growth Partners will be determined by the applicable proposal or service agreement.
Unless otherwise agreed in writing, final custom deliverables will be transferred or licensed to the client as specified in the relevant agreement after all required payments have been received.
Third-party fonts, stock photographs, software, templates, plugins, and other licensed assets remain subject to their respective licence terms.
We may display completed work in our portfolio or marketing materials only where permitted by the applicable agreement, client consent, and privacy or confidentiality obligations.
Our pre-existing methods, processes, tools, templates, and know-how remain ours unless expressly transferred in writing.
10. Confidentiality and Privacy
We will handle personal information in accordance with our Privacy Policy and applicable privacy legislation.
Clients should not submit passwords, financial account details, sensitive personal information, or confidential third-party information unless it is necessary for the service and an appropriate secure method has been arranged.
Both parties should take reasonable steps to protect confidential information exchanged during a project. Any additional confidentiality obligations may be set out in a separate written agreement.
11. Cancellations, Refunds, and Memberships
Cancellation rights, refunds, deposits, recurring billing, membership commitments, and termination procedures will be governed by the applicable service agreement, membership terms, and mandatory legal requirements.
A payment is not automatically refundable merely because a client changes their mind or decides not to proceed. However, any applicable statutory cancellation or refund rights remain unaffected.
Where work has commenced, the parties will address completed work, work in progress, approved expenses, outstanding balances, and any refundable amounts in accordance with the relevant agreement and applicable law.
Memberships and recurring services may have specific minimum terms, renewal conditions, cancellation notice requirements, and service limitations. These will be disclosed before the client commits to the relevant plan.
Please contact us using the details provided on our website to submit a cancellation or refund request.
12. Third-Party Platforms and Services
Our services may rely on third-party providers, including hosting companies, domain registrars, website platforms, social networks, search engines, payment processors, and software vendors.
We do not control these providers’ independent operations, policies, pricing, availability, or decisions.
Clients remain responsible for third-party accounts and charges assigned to them under the applicable agreement. We are not responsible for third-party disruptions or decisions except to the extent liability cannot lawfully be excluded.
13. Disclaimers
Our website and general business information are provided for informational purposes.
Unless expressly agreed in writing, our services do not constitute legal, tax, accounting, investment, or other regulated professional advice. Clients should consult appropriately qualified professionals where their circumstances require such advice.
We make reasonable efforts to provide accurate information and professional services, but we do not warrant that all website content will always be complete, current, uninterrupted, or error-free.
Nothing in these terms excludes a consumer protection, statutory warranty, or other right that cannot legally be excluded or limited.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Canada Growth Partners will not be liable for indirect, incidental, special, or consequential losses arising from the use of our website or services where such liability may lawfully be excluded.
Any other limitation of liability must be interpreted subject to applicable law and the terms of the relevant service agreement.
Nothing in these terms excludes or limits liability for fraud, wilful misconduct, or any other liability that cannot lawfully be excluded or limited.
Where appropriate, project-specific liability limits may be set out in a separate written agreement.
15. Indemnification
To the extent permitted by applicable law, clients are responsible for claims arising from materials they provide, their unlawful use of our services, or their infringement of third-party rights.
Any indemnification obligation will apply only to the extent permitted by law and subject to the terms of the relevant service agreement.
16. Suspension and Termination
We may suspend or terminate services where permitted by the applicable agreement or law, including where a client materially breaches these terms, fails to pay amounts due, supplies unlawful materials, or creates a security risk.
Where reasonably possible, we will provide notice and an opportunity to address the issue before suspension or termination.
Termination does not remove payment obligations for services properly performed or expenses properly incurred before termination, subject to the applicable agreement and law.
17. Changes to These Terms
We may revise these Terms of Service from time to time.
The updated version will be published on our website with a revised “Last Updated” date. Changes will apply prospectively unless applicable law or a separate agreement permits otherwise.
Material changes to an existing service relationship will be handled in accordance with the applicable contract and law.
18. Governing Law
These terms are governed by the laws applicable in the province of Ontario and the federal laws of Canada applicable therein, unless a mandatory legal rule requires otherwise.
Any dispute will be addressed in the courts or other forums with appropriate jurisdiction, subject to applicable consumer protection legislation and any valid dispute-resolution agreement.
